1Service and Eligibility

1.1 Oxaide Research

Oxaide Research is a self-serve software service for investigating companies, assets, industries, and financial markets. Depending on availability and your plan, the Service may let you:

  • Ask research questions and receive responses with source links or source references
  • Continue conversations and use files and tools in a research workspace
  • Save theses, assumptions, risks, catalysts, invalidation conditions, and watchlists
  • Request recurring monitoring and review evidence changes over time
  • Share supported research items through an explicit, opt-in action
  • Review subscription status, included usage, and workspace access

1.2 Eligibility and authority

  • You must be at least 18 and legally able to enter a binding agreement.
  • If you use the Service for an organisation, you represent that you may bind it to these Terms.
  • You must provide accurate account and billing information and comply with applicable law.
  • You may not use the Service if doing so would violate sanctions, export controls, or other legal restrictions that apply to you or us.

2Accounts and Runtime Boundaries

2.1 Account security

  • Keep your sign-in methods, devices, workspace invitations, exports, and share links secure.
  • Use each seat only for an authorised person and do not share individual account access.
  • Notify support@oxaide.com promptly if you suspect unauthorised access or misuse.
  • Workspace owners and administrators are responsible for member invitations, permissions, and removal.

2.2 Account and research runtime separation

Oxaide controls sign-in, workspaces, subscriptions, plan entitlements, usage measurement, spend protection, and whether a paid turn is authorised. The research runtime processes authorised prompts, files, conversations, source requests, tools, and outputs to perform research.

  • The research runtime does not receive Stripe secrets, price configuration, payment authority, or subscription mutation authority.
  • A request may be refused or paused before runtime execution if the trial, plan, security, or usage boundary is not satisfied.
  • Runtime tools are provided for research. They are not an authority to move money, place orders, or control financial accounts.

2.3 Prohibited credentials

Do not provide passwords, seed phrases, wallet private keys, or write-enabled exchange, broker, wallet, bank, or trading credentials. Oxaide does not need them to provide the Service. You are responsible for rotating or revoking any secret submitted accidentally and for notifying us promptly.

3Trial, Plans, and Billing

3.1 Trial

The standard trial provides one workspace for 7 consecutive days or 50 completed turns, whichever limit is reached first. No payment card is required. A completed turn is a user request that produces a completed assistant response and is recorded by our metering system. We may correct clear metering errors. Trial access is limited to one trial per person or organisation unless we approve otherwise.

Prices are in United States dollars and exclude taxes that may apply. The checkout page controls the final amount presented before purchase.

3.3 Hard usage caps and no automatic overage

  • Trial access stops when either the time limit or completed-turn limit is reached.
  • A standard paid plan stops authorising new turns when its included monthly usage is exhausted.
  • We do not automatically add overage charges or allow uncapped paid runtime usage.
  • Access resumes after the applicable usage reset or an authorised plan change, subject to account status.
  • Any future paid overage option must be explicitly accepted by an authorised workspace owner and subject to a disclosed, enforced cap before it can apply.

3.4 Renewal, changes, cancellation, and refunds

  • Paid subscriptions renew monthly until cancelled unless checkout states otherwise.
  • You authorise Stripe and Oxaide to charge the payment method on file for recurring fees and applicable taxes.
  • You may cancel through the available account or billing controls. Cancellation stops future renewal and normally takes effect at the end of the paid period.
  • Plan changes and their effective date are shown through the billing controls before confirmation.
  • Fees are non-refundable except where required by law or expressly stated at purchase. We may provide a credit or refund at our discretion without creating a future obligation.
  • Failed payment may lead to restricted access, suspension, or cancellation after reasonable retry or notice.

4Acceptable Use

4.1 Your responsibilities

  • Use the Service lawfully and only with content, files, and sources you have the right to use.
  • Review research outputs, source coverage, uncertainty, and material decisions yourself.
  • Respect intellectual property, privacy, market-abuse, securities, sanctions, and other applicable laws.
  • Keep workspace access and any opt-in sharing appropriate for the sensitivity of the content.

4.2 Prohibited use

  • Illegal, fraudulent, deceptive, abusive, harmful, or rights-infringing activity
  • Market manipulation, insider trading, evasion of trading restrictions, or other unlawful market conduct
  • Attempting to obtain personalised investment advice, trading signals, autonomous execution, custody, or account control from the Service
  • Submitting prohibited credentials or asking the Service to use write-enabled financial access
  • Circumventing usage caps, access controls, billing controls, rate limits, or security measures
  • Probing, disrupting, reverse engineering, scraping, copying, or reselling the Service except as law expressly permits
  • Uploading malware or content intended to compromise a system, provider, source, or person
  • Using outputs to impersonate a person, fabricate a source, misstate evidence, or conceal material uncertainty

5Customer Content and Sharing

5.1 Your content

As between you and Oxaide, you retain ownership of the original questions, files, notes, saved theses, watchlists, and other content you submit to the Service, called “Customer Content.” You represent that you have the rights and permissions needed for Oxaide and its providers to process Customer Content as described in these Terms and our Privacy Policy.

5.2 Licence to operate the Service

You grant Oxaide and its service providers a worldwide, non-exclusive, limited licence to host, copy, transmit, retrieve, transform, display, and otherwise process Customer Content only as reasonably needed to provide, secure, support, and maintain the Service, comply with law, and exercise rights under these Terms. This licence ends when the content is deleted from active systems, subject to the retention and legal exceptions in our Privacy Policy.

5.3 Private by default and opt-in sharing

Customer Content is not made public by default. If an authorised user creates a share link, invites a member, exports content, or otherwise chooses to share, you authorise the related disclosure and are responsible for the recipients and content selected. A revoked link cannot retrieve copies already accessed, downloaded, forwarded, indexed, or retained by someone else.

5.4 Workspace administration

Workspace owners and authorised administrators may access Customer Content, manage members and settings, review usage, and remove access. If your account uses an organisation-controlled email address, the organisation may establish control over the related workspace where law and our account procedures allow.

6Research Limitations

6.1 Decision-support boundary

Oxaide provides research and decision support. It does not provide financial advice, personalised investment recommendations, investment signals, suitability assessments, portfolio management, autonomous or directed trade execution, custody, brokerage, or guaranteed returns.

  • Oxaide is not acting as your investment adviser, broker, dealer, exchange, custodian, fiduciary, lawyer, accountant, auditor, or tax adviser.
  • Nothing in the Service is an offer, solicitation, endorsement, or instruction to buy, sell, hold, allocate, or trade any asset.
  • You make all research interpretations and investment decisions independently and remain responsible for them.
  • Past performance, simulations, scenarios, and cited third-party claims do not guarantee future results.

6.2 Source and output limits

  • Outputs may be incomplete, inaccurate, stale, inconsistent, unavailable, or affected by model and tool limitations.
  • A source link shows research provenance but does not prove that the source is correct, complete, independent, current, or suitable for your purpose.
  • Monitoring may miss a source, change, event, filing, announcement, or other development and may be delayed.
  • You must verify material facts with primary sources and qualified professionals before acting.
  • Markets can move rapidly, and losses, including total loss, are possible.

7Sources, Tools, and Third Parties

  • The Service may access or link to public, licensed, or user-directed sources and third-party tools. Their content, availability, terms, and privacy practices are controlled by those third parties.
  • Market data, filings, websites, news, and other sources may be delayed, revised, restricted, removed, or incorrect.
  • You must comply with third-party terms and may not use Oxaide to bypass access, copyright, licensing, or technical restrictions.
  • Oxaide may change, restrict, or discontinue a provider, model, tool, source, or integration when reasonably necessary.
  • References and links do not imply Oxaide endorsement of a third party or its claims.

8Intellectual Property

8.1 Oxaide materials

The Service, software, interfaces, branding, documentation, templates, and underlying technology are owned by Oxaide or its licensors and are protected by intellectual property law. We grant you a limited, revocable, non-transferable right to use the Service during your authorised access.

8.2 Outputs and third-party material

Subject to these Terms and applicable law, you may use outputs generated for your workspace. Outputs may contain or refer to third-party material subject to separate rights, and similar outputs may be produced for other users. Oxaide does not transfer rights it does not own.

8.3 Feedback

If you give us feedback or suggestions, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation, without identifying you publicly unless you consent.

9Privacy

Our Privacy Policy explains how we collect, use, disclose, secure, transfer, retain, and delete personal data and Customer Content. It forms part of these Terms.

10Availability and Disclaimers

10.1 Service changes and availability

We may update, limit, suspend, or discontinue features to maintain security, reliability, legal compliance, provider compatibility, or product direction. The Service may be interrupted by maintenance, failures, source restrictions, provider outages, or events outside our reasonable control. Standard plans do not include a guaranteed service level or uninterrupted availability.

10.2 Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, OUTPUTS, SOURCES, TOOLS, AND MONITORING ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OXAIDE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND RESULTS.

11Liability and Indemnity

11.1 Excluded losses

To the maximum extent permitted by law, Oxaide and its officers, employees, contractors, affiliates, and providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, business, goodwill, data, opportunities, trades, or investment value, even if advised that such loss was possible.

11.2 Liability cap

To the maximum extent permitted by law, the aggregate liability of Oxaide and the parties listed above arising from or related to the Service or these Terms will not exceed the greater of (a) the fees you paid to Oxaide for the Service during the 12 months before the event giving rise to the claim or (b) USD $100.

11.3 Non-excludable rights

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions do not permit certain warranty disclaimers or liability limits, so parts of Sections 10 and 11 may not apply to you.

11.4 Indemnity

To the extent permitted by law, you will indemnify and hold harmless Oxaide and its officers, employees, contractors, and affiliates from third-party claims, losses, and reasonable costs arising from your Customer Content, your unlawful or prohibited use, your breach of these Terms, or your infringement of another person’s rights. This obligation does not apply to the extent a claim was caused by Oxaide.

12Suspension and Termination

12.1 By you

You may stop using the Service at any time and may cancel a paid subscription through available account or billing controls. You may request account deletion by contacting support or privacy. Cancellation and deletion are different actions.

12.2 By Oxaide

We may limit, suspend, or terminate access when reasonably necessary, including for:

  • Breach of these Terms or applicable law
  • Non-payment, chargeback abuse, fraud, or circumvention of plan limits
  • Security risk, prohibited credentials, misuse, or harm to the Service, a provider, a source, or another person
  • A legal requirement or loss of a provider, source, or technical dependency needed to continue the Service
  • Discontinuation of the Service, with notice where reasonably practicable

12.3 Effect

When access ends, your right to use the Service ends and outstanding fees remain due. Customer Content is handled under the Privacy Policy and applicable law. Sections that by their nature should survive will survive, including ownership, disclaimers, liability, indemnity, disputes, and general terms.

13Governing Law and Disputes

Governing law:These Terms and disputes relating to them or the Service are governed by Singapore law, without regard to conflict-of-law rules.
Informal resolution:Before starting formal proceedings, each party will give the other written notice and make a good-faith attempt to resolve the dispute for at least 30 days, unless urgent relief is reasonably required.
Arbitration:Any unresolved dispute will be finally resolved by arbitration administered by the Singapore International Arbitration Centre under the SIAC Rules in force when arbitration begins. The seat is Singapore, the language is English, and there will be one arbitrator.
Individual proceedings:To the extent permitted by law, claims must be brought individually and not as a class, collective, consolidated, or representative action.
Urgent relief and protected rights:Either party may seek urgent injunctive relief from a court of competent jurisdiction. Nothing removes consumer rights or access to a regulator or tribunal that cannot lawfully be waived.

14Changes to These Terms

We may update these Terms as the Service, plans, providers, or law changes. We will post the revised Terms with a new effective date and give additional notice where required by law or where a change materially reduces your rights. If you do not agree, you must stop using the Service and cancel before the revised Terms take effect. Continued use after that date means the revised Terms apply.

15General Terms

Entire agreement:These Terms and the Privacy Policy form the agreement concerning the standard Service and replace earlier discussions about it.
Order of precedence:If checkout terms or a written amendment signed by Oxaide expressly conflict with these Terms, the more specific term controls for that subject.
Assignment:You may not assign these Terms without our written consent. We may assign them in connection with a restructuring, financing, merger, acquisition, or sale.
Severability:If a provision is unenforceable, it will be adjusted only as needed and the remaining provisions stay effective.
No waiver:Failure to enforce a provision is not a waiver of that provision or any other right.
Force majeure:Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations.
Notices:We may send service notices to your account email or through the Service. Legal notices to Oxaide must be sent to legal@oxaide.com.
No third-party beneficiaries:These Terms do not create rights for anyone other than you and Oxaide, except where they expressly protect Oxaide-related parties.
