1Service Description and Eligibility
1.1 Oxaide Platform
Oxaide provides physics-informed forensic diagnostics for industrial energy assets. Our Services include:
- Oxaide Verify, a fixed-fee forensic diagnostic report for BESS assets
- Oxaide Horizon, an edge-deployed safety and dispatch intelligence engine
- Diagnostic report delivery with engineering findings walkthrough
- Asset telemetry ingestion and anomaly pattern analysis
- Performance benchmarking and derating or revenue-loss attribution
- API access and SCADA / historian integrations
1.2 Eligibility Requirements
- 1You must be at least 18 years old and legally capable of entering contracts
- 2If using Services for business purposes, you have authority to bind your organization
- 3You must provide accurate registration information and maintain account security
- 4Your use must comply with all applicable laws and regulations
2Account Registration and Security
2.1 Account Creation
You must create an account to access our Services. You agree to provide accurate, complete, and current information during registration.
2.2 Account Security
Important: You are responsible for all activities under your account.
- Maintain the confidentiality of your login credentials
- Notify us immediately of any unauthorized access
- Enable two-factor authentication for enhanced security
3Subscription Plans and Billing
3.1 Subscription Plans
Oxaide engagements may be sold as fixed-scope reviews, pilots, managed monitoring retainers, or project-based deployments. The commercial structure depends on the service and the operating environment under review.

3.4 Project, customer-controlled, and managed deployment terms
For deployment projects, customer-controlled installations, or larger managed environments, the applicable Service Agreement, Statement of Work, or Order Form will take precedence over these general terms.
Managed deployment
Oxaide manages the agreed infrastructure and service path according to the deployment scope and contract.
Air-Gapped / On-Premise
Fully customer-controlled infrastructure with no network connectivity to Oxaide systems. Customer assumes full operational responsibility. Oxaide provides software licensing, installation support, and optional maintenance contracts.

4Acceptable Use Policy
4.1 Permitted Uses
- Submit asset telemetry and BMS data for forensic diagnostic processing
- Integrate Horizon with your SCADA, historian, and dispatch systems
- Use diagnostic outputs for asset management and investment decisions
- Share diagnostic reports with your authorised personnel and end-clients
4.2 Prohibited Activities
- Use Services for illegal, harmful, or fraudulent purposes
- Reverse engineer or extract our proprietary technology
- Misrepresent asset condition, findings, or report outputs to third parties
- Use the service to fabricate evidence, manipulate diligence processes, or conceal known asset issues
- Circumvent usage limits or security measures
- Use our platform to compete directly with our Services
- Upload malicious code or harmful content
- Violate third-party intellectual property rights
5Data Rights and Responsibilities
5.1 Your Data Ownership
You retain ownership of all content, data, and information you provide to our platform ("Customer Data"). This includes telemetry files, BMS logs, equipment datasheets, and all diagnostic report outputs.
5.2 License to Process Data
By using our Services, you grant us a limited, non-exclusive license to process your Customer Data solely for:
- Executing forensic audits and generating your diagnostic report
- Providing customer support and technical assistance
- Generating audit analytics and asset performance benchmarks
- Maintaining and refining the agreed diagnostic workflow using permitted benchmark data for cloud-delivered review services
Horizon: Edge-Isolated Data Custody
For Horizon deployments, all telemetry and signal data is processed entirely within the client's on-site infrastructure. Oxaide does not access, aggregate, or transmit your operational data. You retain full custody at all times.
5.3 Compliance
- Ensure you have proper rights to all uploaded content
- Comply with privacy laws governing your end-users' data
- For GDPR compliance, our Data Processing Addendum applies to European data
6Diagnostic Services and Limitations
6.1 Diagnostic Outputs and Engineering Judgment
- Diagnostic outputs are generated through physics-informed signal analysis and may require contextual engineering judgment
- You are responsible for validating findings against your specific asset operating conditions
- Critical safety and investment decisions should incorporate our findings alongside qualified engineering review
- Forensic diagnostic reports do not constitute professional engineering certification unless explicitly stated in your SOW
6.2 Service Availability
Availability expectations, maintenance windows, and response commitments, where offered, are defined in the applicable order form, statement of work, or support schedule. We do not guarantee uninterrupted service.
7Intellectual Property Rights
7.1 Our Intellectual Property
Oxaide platform, technology, software, and documentation are protected by intellectual property laws.
7.2 Customer Content
You retain ownership of your original content and all diagnostic report outputs. We do not claim ownership of your asset data or operational findings.
7.3 Feedback
Any feedback or suggestions you provide may be used by us without compensation.
8Privacy and Data Protection
Our data collection and processing practices are governed by our Privacy Policy, which forms an integral part of this Agreement.
9Disclaimers and Limitation of Liability
9.1 Service Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OXAIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9.3 Liability Cap
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
10Indemnification
You agree to indemnify, defend, and hold harmless Oxaide from any claims, damages, or expenses arising from your use of the Services, violation of this Agreement, or infringement of third-party rights.
11Term and Termination
11.1 Term
This Agreement remains in effect while you use our Services or maintain an account.
11.2 Termination by You
You may terminate at any time by canceling your subscription through the platform settings.
11.3 Termination by Us
We may suspend or terminate your access for violations of this Agreement or non-payment.
11.4 Effect of Termination
- Access to Services will cease immediately
- You remain responsible for outstanding fees
- We retain your data for 90 days for account restoration
- Provisions regarding liability and disputes survive termination
12Dispute Resolution and Governing Law
Governing Law
This Agreement is governed by the laws of Singapore.
Dispute Resolution
Disputes shall be resolved through binding arbitration in Singapore under SIAC rules.
Class Action Waiver
You agree to resolve disputes individually and waive class action rights.
13Changes to Terms
We may modify these Terms periodically. Material changes will be communicated via email or platform notifications at least 30 days before taking effect. Continued use constitutes acceptance.
14General Provisions
Entire Agreement
This Agreement, together with our Privacy Policy, constitutes the entire agreement.
Severability
If any provision is found unenforceable, the remainder remains in effect.
Assignment
You may not assign this Agreement without our written consent.
Force Majeure
Neither party is liable for delays due to circumstances beyond reasonable control.
