1Service Description and Eligibility

1.1 Oxaide Platform

Oxaide provides an Enterprise AI platform for secure knowledge retrieval and automated intake. Our Services include:

  • Secure Knowledge Engine for internal data retrieval
  • Intake Automation for processing external requests
  • AI agent creation and configuration tools
  • Knowledge base management and ingestion
  • Analytics, reporting, and performance monitoring
  • API access and third-party integrations

1.2 Eligibility Requirements

  • 1You must be at least 18 years old and legally capable of entering contracts
  • 2If using Services for business purposes, you have authority to bind your organization
  • 3You must provide accurate registration information and maintain account security
  • 4Your use must comply with all applicable laws and regulations

2Account Registration and Security

2.1 Account Creation

You must create an account to access our Services. You agree to provide accurate, complete, and current information during registration.

2.2 Account Security

Important: You are responsible for all activities under your account.

  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorized access
  • Enable two-factor authentication for enhanced security

3Subscription Plans and Billing

3.1 Subscription Plans

We offer Enterprise and tailored subscription tiers. Plan details are available on our website or in your specific service agreement.

3.2 Billing and Payment

3.3 Plan Changes

3.4 Enterprise, Sovereign & Air-Gapped Terms

For Sovereign Edition, Air-Gapped, or Enterprise deployments, the terms of the specific Service Agreement (SA) or Statement of Work (SOW) shall supersede these general terms.

Sovereign Edition (Managed)

Singapore geo-pinned infrastructure managed by Oxaide. Data remains strictly within Singapore with no cross-border egress.

Air-Gapped / On-Premise

Fully customer-controlled infrastructure with no network connectivity to Oxaide systems. Customer assumes full operational responsibility. Oxaide provides software licensing, installation support, and optional maintenance contracts.

Common Enterprise Terms:

🏛️Payment terms: 50% upfront deposit, 50% upon delivery, payable via Bank Transfer/GIRO
📋Custom Service Level Agreements (SLAs) as specified in your SOW
🔒Data processing strictly within isolated, geo-pinned or customer-controlled environments
🛡️Zero-training guarantee: Your data is never used for global model improvements

4Acceptable Use Policy

4.1 Permitted Uses

  • Deploy AI agents for legitimate business operations
  • Automate intake and data processing workflows
  • Integrate with your existing business systems and workflows
  • Train AI agents with your proprietary business content and knowledge

4.2 Prohibited Activities

  • Use Services for illegal, harmful, or fraudulent purposes
  • Reverse engineer or extract our proprietary technology
  • Create AI agents that impersonate real individuals without disclosure
  • Deploy agents that generate spam, harassment, or inappropriate content
  • Circumvent usage limits or security measures
  • Use our platform to compete directly with our Services
  • Upload malicious code or harmful content
  • Violate third-party intellectual property rights

5Data Rights and Responsibilities

5.1 Your Data Ownership

You retain ownership of all content, data, and information you provide to our platform ("Customer Data"). This includes training materials, conversation logs, and business information.

5.2 License to Process Data

By using our Services, you grant us a limited, non-exclusive license to process your Customer Data solely for:

  • Training and operating your AI agents
  • Providing customer support and technical assistance
  • Generating analytics and performance reports
  • Improving our platform functionality and security (Standard Cloud only)

Sovereign Edition: Zero-Training Guarantee

For Sovereign Edition users, Customer Data is processed strictly within the client's isolated environment. Oxaide does not access, aggregate, or use Sovereign Customer Data for global model training or general platform improvements.

5.3 Compliance

  • Ensure you have proper rights to all uploaded content
  • Comply with privacy laws governing your end-users' data
  • For GDPR compliance, our Data Processing Addendum applies to European data

6AI Services and Limitations

6.1 AI Technology Disclaimers

  • AI responses are generated based on training data and may not always be accurate
  • You are responsible for monitoring AI agent behavior and responses
  • Critical business decisions should not rely solely on AI-generated information
  • AI agents should not provide professional advice (legal, medical, financial) without proper disclaimers

6.2 Service Availability

While we strive for 99.9% uptime, we cannot guarantee uninterrupted service. Planned maintenance will be communicated in advance.

7Intellectual Property Rights

7.1 Our Intellectual Property

Oxaide platform, technology, software, and documentation are protected by intellectual property laws.

7.2 Customer Content

You retain ownership of your original content. We do not claim ownership of your business data or trained AI models.

7.3 Feedback

Any feedback or suggestions you provide may be used by us without compensation.

8Privacy and Data Protection

Our data collection and processing practices are governed by our Privacy Policy, which forms an integral part of this Agreement.

9Disclaimers and Limitation of Liability

9.1 Service Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OXAIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9.3 Liability Cap

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10Indemnification

You agree to indemnify, defend, and hold harmless Oxaide from any claims, damages, or expenses arising from your use of the Services, violation of this Agreement, or infringement of third-party rights.

11Term and Termination

11.1 Term

This Agreement remains in effect while you use our Services or maintain an account.

11.2 Termination by You

You may terminate at any time by canceling your subscription through the platform settings.

11.3 Termination by Us

We may suspend or terminate your access for violations of this Agreement or non-payment.

11.4 Effect of Termination

  • Access to Services will cease immediately
  • You remain responsible for outstanding fees
  • We retain your data for 90 days for account restoration
  • Provisions regarding liability and disputes survive termination

12Dispute Resolution and Governing Law

Governing Law

This Agreement is governed by the laws of Singapore.

Dispute Resolution

Disputes shall be resolved through binding arbitration in Singapore under SIAC rules.

Class Action Waiver

You agree to resolve disputes individually and waive class action rights.

13Changes to Terms

We may modify these Terms periodically. Material changes will be communicated via email or platform notifications at least 30 days before taking effect. Continued use constitutes acceptance.

14General Provisions

Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement.

Severability

If any provision is found unenforceable, the remainder remains in effect.

Assignment

You may not assign this Agreement without our written consent.

Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control.
